Fudio operates a business-to-business (B2B) trade platform primarily focused on food and agricultural products, including imported goods and farm produce.

The Platform enables:

• Importers, producers, and suppliers to list product offers
• Retailers to browse, compare, and place orders
• Algorithmic organisation and ranking of offers
• Trade coordination and logistics facilitation
• Credit profiling and trade financing support

Fudio may operate as:

• A distributor
• A trade facilitator
• A logistics coordinator
• A credit facilitator
• Or a hybrid of these models

Fudio reserves the right to expand product categories, modify its operating model, or introduce marketplace functionality at any time.

2.1 Registration

Anyone may register for a user account. However, only verified businesses may conduct transactional activities such as placing or fulfilling orders. Users must provide accurate, complete, and up-to-date information.

2.2 Business Verification

To operate as a verified business, additional verification is required, including:

• Business owner identification
• Bank Verification Number (BVN)
• Any additional documentation required by Fudio

Verification enables:

• Creation of a dedicated payment account
• Order placement or offer listing
• Eligibility for credit facilities

Fudio reserves the right to approve, deny, suspend, or revoke verification at its sole discretion.

Each verified retailer business is assigned a dedicated payment account for transactions on the Platform. Retailers must make payments strictly into their assigned account.

4.1 Pricing

• Prices may change at any time without notice.
• Displayed prices may include service margins or commercial adjustments.
• Pricing errors may occur. Fudio reserves the right to cancel orders resulting from errors.

Offer visibility, ranking, or positioning on the Platform does not constitute endorsement or guarantee.

4.2 Stock Availability

• Product availability is not guaranteed.
• Stock may become unavailable after an order is placed.
• Orders are subject to confirmation.

4.3 Order Modification

Fudio reserves the right to:

• Cancel orders
• Partially fulfil orders
• Adjust quantities
• Modify fulfillment methods

Fudio may extend trade credit to verified retailer businesses.

6.1 Eligibility

Credit eligibility, limits, and terms are determined at Fudio's sole discretion.

6.2 Credit Profile

Each retailer may have a digital credit profile showing:

• Credit limit
• Outstanding balance
• Repayment history

6.3 Repayment Obligations

Retailers agree to repay credit within agreed timelines.

Failure to repay may result in:

• Account suspension
• Withdrawal of credit access
• Legal recovery actions
• Reporting to relevant authorities

Fudio may modify, suspend, or withdraw credit facilities at any time.

Users must not:

• Engage in fraud or deceptive practices
• Provide false verification information
• Circumvent designated payment channels
• Interfere with Platform operations
• Manipulate pricing or offers

Fudio may suspend or terminate accounts for:

• Fraudulent activity
• Regulatory non-compliance
• Violation of these Terms
• Non-payment of credit obligations

Fudio may coordinate logistics directly or through third-party providers.

Fudio is not liable for:

• Delivery delays
• Third-party service failures
• Events beyond reasonable control
• Losses caused by logistics disruptions

Fudio may collect and analyse transactional and operational data.

Fudio may use anonymised and aggregated data to:

• Improve the Platform
• Generate pricing insights
• Optimise trade operations

Confidential business data will not be publicly disclosed without authorisation.

All Platform software, branding, algorithms, and content are owned by Fudio or its licensors. Users may not copy, modify, reverse engineer, or exploit any part of the Platform without written permission.

To the fullest extent permitted by law:

• Fudio is not liable for indirect, incidental, or consequential damages.
• Fudio is not liable for pricing errors.
• Fudio is not liable for stock unavailability.
• Fudio is not liable for logistics delays or third-party failures.

Fudio may suspend or terminate accounts at its discretion, including without prior notice where:

• Fraud is suspected
• Payment obligations are unmet
• These Terms are violated

Termination does not extinguish outstanding financial or credit obligations.

Users agree to comply with all applicable:

• Trade laws
• Financial regulations
• Anti-money laundering laws
• Tax obligations

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved in the courts of Nigeria.

Fudio may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
